These Terms of Service (the “ToS”) applies with respect to the usage of the Platform (defined hereinafter) and the services offered by SkillFlex Technologies Private Limited (“SkillFlex”, “GrowSkill IT”, “we”, or “us”), a private limited company incorporated under the Companies Act, 2013, as amended and having its registered office at No. F-1107, Block-1,Ardente Office One,Hoodi Circle, K.R. Puram, Bangalore,Karnataka - 560048. SkillFlex Technologies conducts its business under the brand titled “GrowSKill IT”, which is owned and operated by SkillFlex. In these ToS, the term “GrowSkill IT” shall mean SkillFlex.
These Terms of Service shall mutatis mutandis apply to mobile apps, WhatsApp groups, Discord groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications and other communication forums/media hosted by SkillFlex, which shall be deemed to be part of the Platform (defined hereinafter). You are deemed to have accepted these ToS upon usage of GrowSKill IT Services (defined hereinafter). The terms contained in our privacy policy available at (“PrivacyPolicy”), or any other policy of SkillFlex related to the GrowSkill IT services are incorporated into these ToS by this reference.
Your acceptance of the same will irrevocably and unconditionally bind you to comply with and abide by all the obligations and conditions stipulated herein (unless otherwise explicitly made optional). You will be assumed to continue consenting to these ToS until you explicitly withdraw your consent by notifying SkillFlex of the same in writing. If an executed agreement exists between You and SkillFlex in relation to the GrowSkill IT Services, any deviations from these ToS shall only apply when explicitly agreed in writing between the parties to such an agreement.
IF YOU DO NOT AGREE TO BE BOUND BY ALL CONDITIONS/CLAUSES CAPTURED IN THESE TOS, PLEASE DO NOT USE THE PLATFORM OR SERVICES.

Updation of Terms

          These ToS may be updated, amended, modified or revised by us from time to time. Each such updation or modification to the ToS will be communicated to you via email, through the Website or any other medium. Your continued use of the GrowSkill IT Services after any such changes shall constitute your consent to such changes. We encourage you to refer to these ToS from time to time to ensure that you are aware of any additions, revisions, amendments or modifications that we may have made.

1. Service(s) provided to Users

          SkillFlex allows its users to access various training programs on computer sciences designed by SkillFlex for undergraduates and professionals, including all courses related to Software Testing or any other program or application that SkillFlex introduces from time to time (hereinafter collectively referred to as “Service(s)” or “GrowSkill IT Service(s)” and each of these training programs shall be referred to as a “Program” and collectively as “Programs”). SkillFlex reserves the right, in its sole discretion, to add, change, suspend, or discontinue all or any part of the GrowSkill IT Services at any time.
Your continued use of GrowSkill IT Services following the posting of any changes to the same (including the addition or removal of features) constitutes your acceptance of those changes. Any information you provide to us for the purposes of registering and setting up your account (as specified below) shall be considered as accurate, complete and updated.
You are solely responsible for the activity that occurs on your account (including those of others authorised to access and operate your account) and for maintaining the security of your account and any information you input. We are not responsible for the accuracy or legitimacy of any information, data, or User Data uploaded or posted on the Platform. For the purposes of clarity, as long as your account is accessed with the correct login credentials and unless you notify us of any unauthorised access, you shall be solely responsible for all actions/defaults related to your account.
In consideration of your acceptance of these ToS and if applicable, any subscription agreement (or any other similar agreement) executed between you and SkillFlex, SkillFlex grants the User a personal, non-exclusive, non-transferable, non-sublicensable, revocable limited licence to access and use the Platform and Services, in accordance with the ToS.

2. Access to GrowSkill IT resources

During your time with GrowSkill IT, you would have access to multiple people/ resources that help you learn better. The access policy may vary across those. Following is the policy for each of those resources: Class recordings / Recording of mentor sessions / Recording of TA sessions / Recording of masterclasses: We guarantee access to all recordings forever(unless for some reason, the platforms themselves cease to exist - for example, if Discord shuts down / Youtube shuts down, then GrowSkill IT does not have any liability).
Mentors: You will have access to schedule 1:1 mentor guidance sessions for (subject to SkillFlex’s policies). However, the access to schedule these sessions is not forever. All sessions not scheduled to happen till 3-month post-completion of your last mandatory class with GrowSkill IT (as part of the program you joined) lapse. In other words, you cannot schedule any mentor session post the last mandatory class time + 3 months.
Mock Interviews through Experts: You get a total of 6 mock interviews through experts (subject to SkillFlex’s policies). Similar to the 1:1 mentor guidance sessions, Expert mock interviews can only be taken till 3 months post-completion of your last mandatory class. In other words, you cannot do any mock interview post the last mandatory class time + 3 months.
TA Support: TA support is available to you throughout your GrowSkill IT journey even when you have paused your course. You can also seek help from the community in Discord groups and chances are that you will find help from peers / other learners (Disclaimer: GrowSkill IT does not guarantee a response from other learners/peers on these groups and other peer discussion forums).
Assignments / Notes: You will continue to have access to your assignments and notes taken during the GrowSkill IT course forever(unless for some reason, the platforms themselves cease to exist - for example, if Discord shuts down / Youtube shuts down, then GrowSkill IT does not have any liability).
Career opportunities: Learners at GrowSkill IT are connected to relevant job opportunities through the following channels: Community groups where an alumni/peer/mentor/TA might post job opportunities and can connect you if there is relevance.
There are a set of companies that GrowSkill IT might work with directly to help them hire. In such an engagement, there is an internal GrowSkill IT team that helps facilitate connections to hiring companies. Help from this channel is not available once you have completed 6 months post-completion of your last mandatory class (as part of the program you enrolled in).
It is important to note that GrowSkill IT does not take any placement guarantee. More details are in the placement policy document.
Notwithstanding the above, GrowSkill IT may discontinue access to the resources set out herein for learners who have completed its Programs, provided that such learners will be given a 30-day notice to download all assignments attempted, code, and all notes taken. GrowSkill IT also has the right to withdraw access to the above resources if you withdraw from the course, breach the ToS set out herein, or in the event of termination or suspension of your account.

3. Course Pause & Reset Feature

          Our Programs’ pace and workload can be varied by the learners as per their needs. We have enabled a “Pause” feature through which a learner enrolled in the new GrowSkill IT Programs may opt to pause their program. During this pause period, access to previous recordings and doubt resolution will be available to the learner. No new lectures will be added during the pause period. Our Program also provides learners the opportunity to redo lectures as per their needs. We have enabled a “Reset” feature through which a learner enrolled in the new GrowSkill IT Programs may opt to reset their program. Using the “Reset” feature, learners can go back in increments of 30 days in their program.
          We welcome your ideas, suggestions, comments and other feedback about the Service ("Feedback"). By submitting feedback, you consent to our use of the feedback without restriction or compensation to you. By accepting your offer, Growskill IT does not waive any right to use similar or related offers previously known to Growskill IT, created by our employees, contractors, or obtained from other sources.

4. Security

          We care about the security of our users. Although we strive to maintain the security of your account and related information, Growskill IT cannot guarantee that unauthorized third parties will not be able to bypass our security measures. Please notify us immediately of any breach or unauthorized use of your account by emailing info@growskillit.com

5. Third Party Content

          Through the Service you may access and/or use content provided by instructors, other users and/or third parties, including links to websites and services operated by third parties. Growskill IT cannot guarantee that Third Party Content on the Services or elsewhere will be free of material you may find objectionable or objectionable, or free of malware or other viruses that may damage your computer, mobile device or file thereon. Growskill IT disclaims any responsibility or liability relating to your access to or use of, or your inability to access or use, third party content.

6. Copyright and Trademark

          Growskill IT respects the intellectual property rights of our users, our content and third parties, and expects our users to do the same when using the Services. We acknowledge and respect the following Growskill IT copyrights and trademarks in accordance with applicable law, including the Digital Millennium Copyright Act.

7. Academic Research

          Growskill IT is committed to supporting the development of learning and teaching and data about your participation will be used for academic research. You may be subject to changes in the content provided for the benefit of this work. Research results are often reported at an aggregate level. Your personal identity will not be publicly disclosed in search results without your express permission.

8. Disclaimers

          THE GrowSkill IT SERVICES AND THE GrowSkill IT CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND ARE WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. SkillFlex AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, SPONSORS AND PARTNERS DO NOT WARRANT THAT: (A) THE GrowSkill IT SERVICES AND THE PLATFORM WILL BE SECURE, ERROR-FREE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS. THE GrowSkill IT SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. SkillFlex IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS. YOUR USE OF THE PLATFORM AND THE GrowSkill IT SERVICES IS SOLELY AT YOUR OWN RISK.
You will be awarded a certificate of successful completion of a Program (“Program Certificate”) upon fulfilling the criteria and requirements of SkillFlex, which SkillFlex may update from time to time.
The decision to award any such Program Certificate or other acknowledgement of successful completion of a Program, would be solely at SkillFlex’s discretion. SkillFlex may choose not to offer any such Program Certificate or other acknowledgement of successful completion, for some Programs. SkillFlex may decide at its sole discretion whether to provide a record concerning a Customer’s performance in a Program.
The format of any certificate, credential or other acknowledgement, and of any performance, provided by SkillFlex relating to a Program will be determined by SkillFlex at its sole discretion and may vary as per the Program.
SkillFlex has no obligation to have the GrowSkill IT Services, GrowSkill IT Content, Programs or Program Certificates recognized by or affiliated to any educational institution or accreditation organization. Any Programs offered in collaboration with a university/college or other partner (“Partner”) will be subject to the terms of such Partner and you agree to be bound by them, upon subscribing to such Programs. SkillFlex provides education related services through the Platform.
The Platform or the GrowSkill IT Services MUST NOT be construed as a university. The Users understand and acknowledge that SkillFlex cannot award certificates which are recognised by any regulatory body such as the All India Council for Technical Education or University Grants Commission. It is the sole responsibility of the Customer enrolling into a Program to check the accuracy of, and evaluate the suitability and relevance of, the Program elected.
The enrolment into a Program is non-transferable.
You acknowledge that certain parts of the Platform may be enabled by third-party service providers, and you agree to abide by their terms and conditions to the extent such terms are applicable to you. SkillFlex shall not be responsible for any disruption of GrowSkill IT Services caused by any such third-party service provider.

9. Indemnification

You shall defend, indemnify, and hold harmless SkillFlex, its affiliates, subsidiaries and each of its, and its affiliates’ and subsidiaries’ employees, contractors, directors, suppliers and representatives from all liabilities, losses, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to

(i) your use or misuse of, or access to, the Platform and/or GrowSkill IT Services;
(ii) your violation of the ToS or any applicable law;
(iii) your violation of any rights of a third party in relation to the usage of the Platform. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in connection therewith.

10. General Terms

Change of Terms
          We reserve the right to change the Terms at any time at our sole discretion. Except for changes to the Terms of Service and Class Action waivers, all changes to the Terms will be effective immediately upon our posting. For material changes to the Terms, we will take reasonable steps to notify you of such changes via a banner on the site, email notification, other means, or a combination thereof. In any event, your continued use of the Services after the posting of such changes, with or without notice, will constitute acceptance of the revised Terms.
Divisibility; Disclaimer
          If any provision of these Terms becomes unenforceable it will not affect the other provisions. If you fail to comply with these Terms and we do not take immediate action, this does not mean that we have waived any rights we may have (including future action).
Content Providers
          Our content providers and their respective service providers are third party beneficiaries of these Terms and may enforce these terms of the Agreement with them.

Rights of Use at Growskill IT

          Our goal is to provide the world's best education for everyone. We believe in protecting the freedom of speech and expression of our users as well as the academic freedom of our service providers and teachers. We also want all users and instructors to feel safe and comfortable when using our services. We created this policy to ensure people understand and follow the rules when participating in our online communities and using our services. We may remove or edit inappropriate content or activity that we find or report to us. We may automatically suspend, disable or terminate a user's access to all or part of the Services.
You are prohibited from using our Services to share the following content:
          (a) Contains illegal content or promotes illegal activities with the intent to commit such activities. Please note that Growskill IT users are only 1 years old and we do not allow content that is inappropriate for younger users.
          (b) There are credible threats or real-world threats. We do not allow content that poses a risk of personal injury or property damage, threatens people or public safety, or promotes or degrades creation.
          (c) Harming others. We encourage comments about people and things of public interest, but we do not allow personal abuse or other inappropriate content.
          (d) Violate intellectual property, privacy or other rights. Do not post content that you do not have the right to share, claim that you did not create it, or violate or misappropriate the ideas or other rights of others. Always credit the information you use or quote to the original maintainer.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SkillFlex (NOR ITS DIRECTORS, EMPLOYEES, AGENTS, SPONSORS, PARTNERS, SUPPLIERS, CONTENT PROVIDERS, LICENSORS OR RESELLERS,) BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICE (I) FOR ANY LOST PROFITS, DATA LOSS, LOSS OF GOODWILL OR OPPORTUNITY, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER; OR (II) FOR YOUR RELIANCE ON THE GrowSkill IT SERVICES; OR (III) FOR ANY DIRECT DAMAGES IN EXCESS (IN THE AGGREGATE) OF ONE THOUSAND RUPEES (INR 1,000/-); OR (IV) FOR ANY MATTER BEYOND ITS REASONABLE CONTROL, EVEN IF SkillFlex HAS BEEN ADVISED OF THE POSSIBILITY OF ANY OF THE AFOREMENTIONED DAMAGES.

Copyright and Trademark Policy

          Growskill IT respects the intellectual property rights of our service providers, instructors, users and other third parties and expects our users to do the same. By using our services. We reserve the right to suspend, disable, or terminate the accounts of users who are repeat infringers or who are repeatedly charged with violating the copyrights, trademarks, or other proprietary rights of others. The Digital Millennium Copyright Act of 1998 ("DMCA") provides a remedy for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you would like to read the DMCA, please visit the US Copyright Office website: http://www.copyright.gov/legislation/dmca.pdf. If you believe in good faith that material on the Growskill IT platform violates your rights and privileges, the DMCA allows you (or your agent) to send us a notice of request to delete data or access blocks of data.
The notice must include the following information:
          Signature of the person authorized to act on behalf of the owner of the specific right claimed; a representative list of the works that have been infringed (or if several copyrighted works on the Platform are covered by a notification); ‑ Information about the material that is claimed to be infringing or infringing, and information reasonably sufficient to permit Growskill IT to: Presence on the Platform.
         •   Name, address, telephone number and e-mail address (if any) of the complaining party.
         •   The complaining party is not authorized by law or is not authorized by law to use the material complained of, the copyright owner or its agent.
          A statement, under penalty of perjury, that the information in the notification is accurate and that the complaining party is accurate and authorized to act accordingly. On behalf of the owner of exclusive rights that are allegedly infringed. Notices must comply with the existing provisions of the DMCA. Service-related notices and notifications may be sent to: Growskill IT also respects the commercial rights of others. Accounts containing offensive or other content that violates another's trademark may be edited, removed, terminated, or terminated at Growskill IT sole discretion. If you are concerned that someone is using your trademark on our Services without appropriate permission, please send an email to info@growskillit.com and we will review your request. If we deem it necessary, we may remove the offending content, notify the person who posted the content, and/or temporarily or permanently remove or remove that person's account.

Definitions

          The following defined terms having their respective meanings as provided below have been used in these ToS: “Customer” refers to any User who has paid and subscribed to any of the Programs, which may include execution of a subscription agreement (or any similar agreement executed between such User and SkillFlex) or compliance with certain additional terms by the User in this regard; “Platform” shall mean the websites www.skillflextechnologies.com and www.growskillit.com (collectively, the “Website”), and any other platform (including chat groups, SkillFlex hosted social media forums/pages and webpages) which may allow you to access and/or use the GrowSkill IT Services via any other device/medium; “GrowSkill IT Content” means and includes all questionnaires, interview ideas, study/course material in any format, ideas, concepts, inventions, systems, platforms, software, interfaces, tools, utilities, templates, forms, techniques, design formats, methods, processes, algorithms, know-how, trade secrets, and other technologies and information acquired, created, developed or licensed independently by us, prior to or outside the scope of these ToS and any improvement, modification, extension or other derivative works thereof and all intellectual property rights thereto. GrowSkill IT Content excludes all User Data; “User Data” means all electronic data, information, or other content submitted or provided by a User to be stored, collected or processed by us in connection with such User's authorised use of the GrowSkill IT Services; “ You ” or “ User ” shall mean any user of the Platform. These Terms of Service constitute an 'electronic record' within the meaning of the applicable law (including the Information Technology Act, 2000) and is generated by a computer system and does not require any physical or digital signatures.

1. Plagiarism

          Plagiarism is when you copy or copy text, ideas, or other material from another source without crediting the original author. Plagiarism also includes the practice of allowing someone else to borrow or modify your work and then submit it as your own. Students may discuss assessments on their own or with a teacher or tutor, but all assessments must be original work completed by the student. This includes works that have been translated, translated, or otherwise modified using mechanical devices. Plagiarism can also include self-plagiarism, when students submit the same work that they have submitted for other tests or samples without this behavior being explained and authorized.

2. Unauthorized use of information:

          Use or access unauthorized information (including electronic and electronic AI tools, including but not limited to ChatGPT or similar software or applications) or use unauthorized materials or equipment at any of Growskill IT events, unless stated otherwise. allowed.

3. Unauthorized collaboration:

          Collaborating with anyone on any Growskill IT activity unless otherwise authorized.

4. Contract Fraud:

          Paying for referrals to Growskill IT courses or working at Growskill IT events, marketing, or enabling another creator to work.

5.Impersonation:

          Complete work in Growskill IT activities (including but not limited to tests, assessments, and learning activities) while logged in as another user, or authorize other users to complete work in Growskill IT programs while logged into your program; Do not misrepresent written work submitted to Growskill IT. 6. Unauthorized sharing of resources: Provide information or solutions to others for assignments, quizzes, tests, assignments, and other assessments (except when the assessment explicitly permits shared solutions). This includes solutions written by you or other students, external sources, or solutions from course staff or others. 7. Fraud: Misrepresentation of articles or events (whether otherwise) that worked in the Growskill IT campaign or falsification of evidence to support a claim of a discount.

Other:

          Other behavior by others or any activity that unfairly treats you or attempts to unfairly increase your ranking or improve or undermine others in the Growskill IT study.

Content Ownership and Copyright Conditions of Access

The Platform and the GrowSkill IT Content, including but not limited to all text, graphics, user interfaces, visual interfaces, sounds, artwork and computer code are owned and controlled by SkillFlex and/or its licensors and the design, structure, selection, expression and arrangement of such content mentioned hereinabove is protected by copyright, patent and trademark laws, and other applicable laws on intellectual property rights. We reserve all rights, title, and ownership in and to the Platform and GrowSkill IT Content. SkillFlex’s logos, trademarks and service marks that may appear on the Platform, including but not limited to “SkillFlex”, “SkillFlex GrowSkill IT”, “GrowSkill IT” are the property of SkillFlex and are protected under applicable laws on intellectual property rights.
Your copying, distributing, displaying, reproducing, recording, downloading, modifying, or in any other way using of the GrowSkill IT Content in any manner not specified in these ToS, will be a violation of copyright and other intellectual property rights and SkillFlex reserves its rights under applicable law accordingly.
You shall, at all times, remain the complete owner and retain all rights and title in and to the User Data. This includes assuming liability and responsibility in cases where the User Data breaches any conditions of confidentiality, any intellectual property rights, or any other third-party rights.
By posting any User Data through the GrowSkill IT Services, you grant SkillFlex and its affiliates, a worldwide, non-exclusive, royalty-free, irrevocable, sub-licensable and transferable license to use, copy, reformat, modify, translate, display, sell, create derivative works and distribute such User Data for or in connection with the use of the GrowSkill IT Services.
If a User believes in good faith that his/her copyright has been infringed, the User may provide us with a written communication which contains:
An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest/work; A description of the copyrighted work that the User claims has been infringed upon; A description of where the material that the User claims is infringing is located on the Platform, and any other details identifying the infringing material;
The User’s email address, address and telephone number; A statement by the User affirming that the User has a good faith belief that the disputed use is not authorized by the copyright owner, his/her agent, or the law; and A statement by the User, made under penalty of perjury, that the information in the copyright notice is accurate and that the User is the copyright owner or authorized to act on behalf of the copyright owner. Miscellaneous

If any provision of the ToS is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the ToS will otherwise remain in full force and effect and enforceable.
Any failure by SkillFlex to enforce any right or failure to act with respect to any breach by you under the ToS shall not be construed as, or constitute, a continuing waiver of such provision, or a waiver of any other breach of or failure to comply with any other provision of the ToS, unless any such waiver has been consented to by us in writing.
These ToS are personal to you and are not assignable or transferable by you except with SkillFlex’s prior written consent. SkillFlex may assign, transfer or delegate any of its rights and obligations hereunder without your consent. No agency, partnership, joint venture, or employment relationship is created as a result of the ToS and neither party has any authority of any kind to bind the other in any respect in relation to any third party.
All notices under the ToS will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or two days after it is sent, if sent for next day delivery by recognized overnight delivery service.
SkillFlex shall not be liable for failure to perform, or the delay in performance of, any of its obligations if, and to the extent that, such failure or delay is caused by events substantially beyond its control, including but not limited to acts of God, acts of the public enemy or governmental body in its sovereign or contractual capacity, war, terrorism, floods, fire, strikes, pandemics, epidemics, civil unrest or riots, power outage, and/or unusually severe weather.
By accepting the ToS through your use of the Platform, you certify and acknowledge that you are 18 years of age or older. If you are under the age of 18 or under the legal age in your jurisdiction to enter into a binding contract, you must use the Platform only under the supervision of a parent or legal guardian who agrees to be bound by the ToS.
If you are a parent or legal guardian agreeing to this ToS for the benefit of an individual below 18 years of age, please be advised that you are fully responsible for his/her use of the Platform, including all financial charges and legal liability that he/she may incur. By using the Platform, you represent and warrant that you have the right, authority, and capacity to enter into this ToS and to abide by all of the terms and conditions set forth herein.

Grievances
